Acceptance & Eligibility
By accessing the custody platform, you agree to these Terms and the incorporated policies. Eligibility requires: (i) entity status as a qualified investor per Reg D Rule 506(c) or equivalent, (ii) net assets exceeding $100M, and (iii) execution of our Master Custody Agreement. Services are subject to FATF Travel Rule compliance for all transfers above $3,000.
Service Level Agreement
We guarantee 99.99% availability for transaction signing and balance queries. Scheduled maintenance is notified 72 hours in advance. Credit for downtime is calculated per Clause 8 of the MCA, capped at 25% of monthly fees. Exclusions include force majeure, chain reorganizations, and smart contract failures beyond our control.
Fees & Settlement
Monthly custody fees are assessed at 0.15% AUM (tiered down to 0.08% for >$500M). Transaction fees are flat $0.10 per signing request. Staking rewards are shared at 80/20 in favor of the client. All fees are invoiced in USDC and due within 15 days. Late payments accrue 1.5% monthly interest.
Liability & Indemnification
Our aggregate liability is limited to the fees paid in the preceding 12 months. We indemnify clients against losses from unauthorized access due to our negligence (excluding client-side security failures). Clients indemnify us for losses arising from inaccurate KYC data or violation of law. Insurance policies are maintained at $500M per occurrence, but claims are subject to $10M deductible.
Termination & Wind-Down
Either party may terminate with 90 days written notice. Upon termination, we will return all assets to client-specified wallets within 30 days. If client cannot provide valid withdrawal addresses, assets may be liquidated to USDC and remitted via bank transfer after 180 days. Dispute resolution: binding arbitration under AAA Commercial Rules, seat in London.
Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of laws. The UN Convention on Contracts for the International Sale of Goods is excluded. BY USING THE SERVICE, YOU WAIVE RIGHT TO JURY TRIAL.
